HELLO TOMORROW SEA x HK CHALLENGE FINALS

TERMS AND CONDITIONS

 

These are terms governing participation in the Hello Tomorrow SEA x HK Challenge Finals (the “Challenge”). This Challenge is organised by Science & Stories Pte. Ltd. (“Hello Tomorrow Singapore” or the “Organisers”).

 

You may participate in the Challenge individually, or as a team. If you are participating as a team, the reference to “you” in these terms shall be a reference to “you” and your team, and you shall procure the compliance of each of your team members to these terms. If you or any member of your team does not accept these terms, you should refrain from participating in Challenge.

 

Judging. The application submitted by you the Challenge (your “Submission”) will be judged by the panel of judges appointed by the Organisers. The judges will, in their sole and absolute discretion, select the top FIVE (5) participants or teams; and select the top THREE (3) winning participants or teams. All decisions by the judges are final and not subject to review, appeal or reconsideration.

 

Prizes. All prizes, including the prizes available and the eligibility criteria to receive prizes, are determined by the Organisers in their sole and absolute discretion. The Organisers reserves the right at any time to change the prizes available or eligibility criteria to receive prizes, including substituting any prize with other items. The receipt of prizes is subject to availability (including relevant sponsors having provided the relevant prizes and/or funding as anticipated by the Organisers). All taxes and other expenses, costs, or fees associated with the acceptance and/ or use of any prize are the sole responsibility of the winning participants or teams. Winners may not transfer, substitute or exchange prizes. If a prize remains unclaimed by any winning participant or team after ONE (1) month from the conclusion of the Challenge, the Organisers may in their sole and absolute discretion, forfeit the prize entirely and/ or select an alternate winner to receive the prize.

 

Instructions. You agree that you will comply with all reasonable instructions, directions and timelines that may be provided by the Organisers with respect to the administration and conduct of the Challenge, including the format and manner of your presentation (if any) to audience members and/ or judges.

 

Equipment and Costs. Your participation in the Challenge is at your own risk and expense. You are solely responsible for (a) procuring all additional hardware, software and other equipment; and (b) all costs and expenses, associated with participation in this Challenge.

 

Disqualification. You may, at any time withdraw from further participation in this Challenge by giving notice to the Organisers and providing the reasons for your withdrawal. You may, without notice, be disqualified with immediate effect from the Challenge if the Organisers in their sole and absolute discretion determine:

(a) your Submission:

(i) contains any element or content that is malicious, corrupt, damaged, incomplete, inappropriate, or offensive;

(ii) infringes any intellectual property rights of any third party;

(iii) violates any applicable law; or (iv) violates or does not comply with these terms; or

(b)   you have engaged in any one of the following:

(i) verbal abuse of another participant or the Organiser’s staff;

(ii) inappropriate touching or harming of another participant or the Organiser’s staff;

(iii) breach of these terms or any other agreement entered into in connection with this Challenge; or

(iv) compromising (or attempting to compromise) the spirit, integrity or legitimate operation of this Challenge, including by cheating, hacking, creating a malicious bot or other automated program, or by committing fraud in any way.

 

In exercising its rights of disqualification against you, the Organisers may in their sole and absolute discretion determine whether to disqualify your entire team or any one or more members of your team. If the Organisers choose to only disqualify certain member(s) of your team, the remaining member(s) not disqualified may elect to continue participating in this Challenge without the disqualified member(s).

 

Flights. If your team is based outside of Singapore, we will provide you with one economy class round-trip air flight ticket from the city your team is based in to Singapore so that you may be able to attend the Challenge. By default, the date of arrival to Singapore will be 6 November 2019, and departure from Singapore will be 8 November 2019. Should you require any variation to this arrangement, please inform us of these requirements as soon as possible and we will try our best to accommodate your requests. Once your flights have been reserved, you agree that you will bear any and all additional costs for any variation you make to your flights thereafter. 

Accommodations. We will not be providing any accommodations for teams participating in the Challenge. You are responsible for your own accommodations in order that you may be able to participate in the Challenge. 

Visa. If you or your team members are not Singapore citizens, you are responsible for ensuring that any and all visa requirements for you to participate in the Challenge are met.

 

Cancellation and Non-Appearance. You agree that in the event that you (i) cancel your participation in the Challenge; (ii) do not utilise the relevant flights we have arranged for you, and/ or (iii) do not turn up for or in time for the Challenge or your assigned time slot of the Challenge, you agree to reimburse us for the relevant reasonable expenses we have incurred or will incur (including but not limited to cost of flights or any other expenses that are otherwise non-refundable to us).

Warranties. You represent, undertake and warrant that your Submission will not infringe upon any intellectual property right or other proprietary right (including confidential information or trade secrets) of any third party.

 

Disclaimers This Challenge and any services or materials provided by the Organisers in connection with this Challenge, are made available on an “as is” and “as available” basis. The Organisers disclaim all representations, conditions and warranties of any kind, whether implied or otherwise, in relation to this Challenge and the services or materials provided in connection with this Challenge, and the Organisers disclaim all liability in respect of the Challenge, to the extent permissible by law. Notwithstanding any part of these terms, the Organisers reserve the right to discontinue, terminate or postpone this Challenge at any time, in its sole and absolute discretion, without prior notice to you, and without incurring any liability to you.

 

Limitation of Liability In no event will the Organisers be liable to you for any special, indirect, incidental, consequential damage of any nature whatsoever including any loss of profits, loss of revenue, contracts, anticipated savings or business, pure economic loss, loss or corruption of data, loss of opportunity and/or expectation loss. To the extent that the Organisers may be liable to you, the Organisers’ aggregate liability to you, whether in contract, tort (including negligence) or otherwise for any and all losses, damage or liabilities caused or arising from any breach, failure or default to perform any of their obligations (whether arising under these terms or at law), and regardless of the number of claims, shall not exceed the aggregate sum of S$500.

 

Indemnities In the event of any breach of these terms by you, or any act or omission by you which results in such a breach, you shall indemnify, keep indemnified and hold the Organisers and their representatives harmless from and against all actions, proceedings, claims, demands, loss, damages, costs, legal costs and other expenses of any nature which may be made or brought against or suffered or incurred by the Organisers or their representatives.

 

Personal Data Your personal data will be collected in the course of your participation in this Challenge, including during the registration process and the taking of photos or other recordings during this Challenge. You consent to the Organiser’s use of your personal data in connection with the Challenge, including the publication of your photos or recordings on such media platforms that the Organisers may from time to time determine for the purposes of promoting or reporting on this Challenge. You consent that the Organiser may share your personal data with the Hello Tomorrow Organisation, a global non-profit headquartered in Paris and entities licensed by or are entities which are part of the same group as the Hello Tomorrow Organisation.

 

Photography and Recording You grant the Organiser all rights to take photographs, video recordings, and audio recordings of all material you present at the Challenge, interviews, before, during, or after the Event, and further grant the Organiser all rights to use such photographs, video recordings, and audio recordings for promotional and advertising purposes on any advertising mediums including websites, social media, print and digital media.

 

Third Parties Your participation in this Challenge may require you to accept or enter into other agreements with third parties (e.g. content providers and/or service providers such as Ticketbox). These third parties are not our agents and we are not responsible for their actions or omissions. These terms shall not in any manner affect your agreements with these third parties.

 

Amendments The Organisers may in its sole and absolute discretion amend these terms, by publishing the amended terms on any part of its website at www.hello-tomorrow.sg. The amended terms shall take effect and bind you upon publication.

 

General  The invalidity, illegality or unenforceability of any part of these terms shall not affect the validity, legality and enforceability of other parts. A waiver of a party’s rights shall be in writing and shall not prevent the party’s further exercise of the same or any other right.  Save for the Hello Tomorrow Organisation and entities which are part of the same corporate group as Hello Tomorrow Singapore, no third party shall have any right to enforce or enjoy the benefit of these terms under the Contracts (Rights of Third Parties) Act (Cap. 53B).

 

Governing Law These terms shall be governed by and construed in accordance with the laws of Singapore. In the event of any dispute arising out of or relating to this Challenge or these terms, you agree to submit to the exclusive jurisdiction of the Singapore Courts.
